Welcome to Contrario. Please take a moment to review the terms below—these outline the rules and limitations that govern your use of our websites, applications, and services (collectively, the “Services”). These Terms of Use (“Terms”) form a legally binding agreement between you and Contrario, Inc. (“Contrario,” “we,” or “us”). By accessing or using any part of our Services, you agree to be bound by these Terms. These Terms apply for as long as you continue to use the Services and include both this document and our Privacy Policy. Certain services may also be subject to additional rules, policies, or conditions (“Additional Terms”). By using those services, you agree to follow those Additional Terms as well. Please read these Terms carefully—they contain important information about your legal rights, responsibilities, and obligations. These include limitations on liability, information about future updates to the Terms, and how disputes will be resolved. Important Notice on Arbitration and Class Action Waiver:
Except for specific types of disputes outlined in the arbitration section below, you agree that any disputes between you and Contrario will be resolved through binding, individual arbitration. You also waive the right to participate in class action lawsuits or class-wide arbitrations.
1.1 Using Contrario
To access certain features of Contrario, you may need to create an account. This includes selecting a password, providing a valid email, and submitting accurate personal details. You agree to keep this information current and truthful. You must not use someone else's name, alias, or identity without their consent. Transferring your account to others is not allowed without our written approval.
By signing up, you agree to receive occasional emails from Contrario, including updates and newsletters. You can unsubscribe at any time by using the “Unsubscribe” link in emails or by contacting support.
You may also log in via a third-party account such as Google or LinkedIn. By doing so, you grant Contrario permission to access certain information from that account, which you can manage via your privacy settings.
By using our Services, you confirm that you are legally eligible to enter into a contract. If you’re using the Services on behalf of an organization, you affirm you have the authority to bind that organization to these Terms.
You agree to use the Services only for personal or internal business use—not for resale or to benefit a third party—and to comply with all applicable laws. Misuse of the Services, including violating any laws, voids your right to access them.
You’re responsible for protecting your login credentials and any actions taken through your account.
1.2 Connecting Employers and Candidates
Contrario serves as a platform that connects hiring companies (“Employers”) with talent (“Candidates”) and those referring candidates (“Referrers”). All users—Employers, Candidates, or Referrers—are subject to these Terms.
While Contrario screens Employers to a reasonable extent, Candidates and Referrers are responsible for evaluating the suitability of each Employer. Contrario simply facilitates connections and is not liable for any mismatches, misrepresentations, or inaccurate information provided by Employers, Candidates, or Referrers.
Contrario does not control job listings, candidate applications, or third-party behavior. We disclaim liability for any outcomes that result from interactions on the platform.
1.3 Children’s Privacy
Contrario does not knowingly collect personal data from anyone under 16 years old. If we learn that a child has provided such information, we’ll delete it immediately. Parents or guardians should contact founders@contrario.ai if they believe a child under 16 has submitted data.
2. Restrictions on Using the Services
By using Contrario, you agree not to:
Infringe on intellectual property rights or other legal rights of any individual or entity.
Violate any applicable law or regulation.
Upload or share content that is fraudulent, harmful, offensive, threatening, defamatory, obscene, or otherwise objectionable.
Compromise the security of your own or others’ accounts (e.g., sharing credentials or allowing unauthorized access).
Attempt to access passwords, accounts, or sensitive data belonging to other users.
Breach or bypass any security mechanisms or encryption on our platform.
Run unauthorized scripts, spam, bots, or automated processes that interfere with service performance.
Use scrapers, crawlers, or spiders to collect data or content from Contrario.
Download, store, or duplicate a significant portion of the content or system data.
Reverse-engineer, decompile, or access the source code behind the Services.
Violate any active agreements or legal restrictions (such as employment contracts or NDAs) by using Contrario to recruit in breach of those terms.
Violating any of the above may result in suspension or termination of your account without notice.
3. Terms Specific to Employers
Employers agree to collect only the necessary information from Candidates strictly for hiring evaluation purposes. If a Candidate is not hired, the Employer must delete all associated Candidate data and may not retain, share, or repurpose it.
Every Employer using Contrario must sign a Recruiting Agreement before accessing Services. Communication between the Employer and Contrario—including channels like email, Slack, or other platforms—is considered part of this agreement and subject to these Terms.
4. Terms Specific to Recruiters
As a recruiter using Contrario, you agree that you have received explicit permission from each Candidate before sharing their details—including name, contact information, resume, and job history—with Contrario or any potential Employer on the platform.
5. Rights in the Services
All materials on the Contrario platform—including text, data, visuals, logos, and content—are protected by intellectual property laws. You agree not to copy, reproduce, distribute, modify, or commercialize any content you don’t own, unless explicitly authorized in writing.
We grant you a limited, non-transferable license to use the platform and view content for personal or business use only. This license does not grant the right to resell, redistribute, or create derivative works from any platform content without permission.
You acknowledge that Contrario owns the Services in their entirety and agree not to alter, publish, or commercially exploit any aspect of the platform beyond what’s permitted here.
6. User Content and Licensing
6.1 User Submissions
Any content you post, upload, or share on or through Contrario (including resumes, referrals, job listings, or feedback) is considered a User Submission. You're solely responsible for ensuring your User Submissions are:
Accurate, up-to-date, and lawful
Free of any third-party copyright violations
Not harmful, offensive, defamatory, exploitative, or fraudulent
We prohibit submissions that contain sexually explicit content, promote hate or violence, infringe on others’ rights, or mislead users about identity, qualifications, or opportunity.
6.2 Licenses
By sharing content through Contrario, you grant us a worldwide, royalty-free, perpetual, and sublicensable license to use, display, distribute, edit, and promote that content in connection with our Services — even after your account is deactivated. Other users may also interact with or display your content where relevant.
You retain full ownership of your submissions, but you agree we can adapt them to fit various technical formats (e.g., mobile layouts, feeds, media previews).
You are responsible for ensuring that all content shared complies with privacy, intellectual property, and contract laws.
7. Copyright Infringement & DMCA Policy
Contrario respects the intellectual property rights of others and expects the same from its users.
7.1 Reporting Copyright Infringement
If you believe that your content has been copied or used on Contrario in a way that constitutes copyright infringement, you must send a formal notice including:
Your name and electronic/physical signature
A description of the copyrighted material
The location (URL or reference) of the infringing content
Your contact information
A good-faith statement that the use is unauthorized
A declaration under penalty of perjury that your claim is accurate

7.2 Counter-Notice Process
If your content was removed and you believe the takedown was incorrect or mistaken, you may submit a counter-notice that includes:
Your name and signature
The location of the removed content
A good-faith statement of mistaken removal
Consent to U.S. jurisdiction and service of process
Upon receiving a valid counter-notice, we may restore the content unless the original claimant files a lawsuit within 10–14 business days.
8. Responsibility for What You See and Do on Contrario
Any content you access on Contrario—whether public or private—is the responsibility of the user who posted it. You access and engage with such content at your own risk. Contrario does not monitor or verify all information and cannot guarantee its accuracy or reliability.
You are fully responsible for any content you contribute, and you confirm that you have the legal right to do so.
Contrario may contain links to third-party websites or services. We do not control or endorse these and are not responsible for their content, terms, or privacy practices. You release Contrario from any liability related to third-party platforms or interactions.
If a dispute arises between you and another user (Employer, Candidate, or Referrer), Contrario is under no obligation to intervene. You agree to release Contrario and its affiliates from all claims, demands, and damages related to such disputes.
9. Changes to the Services
Contrario is continuously improving. We may modify, limit, or discontinue features or services at any time, with or without notice.
We may also remove content that violates our Terms or is reported by users. We are not liable for any loss or inconvenience caused by changes to the platform.
10. Fees & Billing
Contrario’s Services are free for Candidates and Referrers. Employers, however, may be subject to fees based on the services used, as outlined in a Recruiting Agreement or individual pricing plans.
We use Stripe as our Payment Processor. By using paid services, Employers authorize Contrario (via Stripe) to charge the designated payment method. All billing information must be kept current, and Employers are responsible for charges resulting from outdated or inaccurate payment info.
If you cancel paid services, fees may still apply up to the termination date.
